HOSPITALITY PEER ALLIANCE — TERMS OF USE

These Terms of Use ("Terms") govern your access to and use of the website located at hpalliance.org and any related pages, forms, or content (collectively, the "Site") operated by Hospitality Peer Alliance ("HPA," "we," "us," "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
These Terms are separate from the HPA Membership Agreement, which governs your membership relationship with HPA once you sign up as a paying member.
1. ELIGIBILITY
You must be at least 18 years old and legally able to enter into a binding contract to use the Site. If you use the Site on behalf of a business, you represent that you are authorized to do so.
2. PERMITTED USE
You may browse the Site, read publicly available content, submit contact forms, and sign up for HPA membership. You may not copy, republish, or redistribute Site content without written permission; use automated tools (scrapers, bots, crawlers) to extract Site content; attempt to gain unauthorized access to any restricted area, member portal, or backend system; reverse engineer any part of the Site; use the Site to transmit malware, spam, or unlawful content; or misrepresent your identity, business, or affiliation when submitting a form.
3. MEMBERSHIP SIGNUP
Signing up for HPA membership through the Site (via Stripe checkout or an emailed invoice link) constitutes acceptance of the HPA Membership Agreement and Privacy Notice, both linked from the Site. Membership terms, fees, cancellation, and refund policy are governed by those documents.
4. INTELLECTUAL PROPERTY
All Site content — including copy, logos, trademarks, color palette, illustrations, templates, briefings, playbooks, and benchmark reports — is the property of HPA or its licensors and is protected by U.S. and international intellectual property laws. Nothing on the Site grants you any license to use HPA intellectual property except as expressly stated in the Membership Agreement.
The name Hospitality Peer Alliance and the HPA logo are trademarks of HPA. Third-party names, logos, and marks referenced on the Site are the property of their respective owners.
5. INFORMATIONAL CONTENT ONLY — NO PROFESSIONAL ADVICE
Content on the Site (including blog posts, briefings, event summaries, benchmark previews, and any operator interviews) is provided for general informational purposes only. It is not legal advice, tax advice, accounting advice, HR or employment law advice, insurance advice, or health, food safety, or alcohol regulatory advice.
HPA is not a law firm, CPA firm, insurance broker, or licensed advisor. You are solely responsible for evaluating whether any information is appropriate for your business and for consulting licensed professionals before acting on Site content.
6. THIRD-PARTY LINKS AND SERVICES
The Site may link to third-party websites (vendors, partners, payment processor, publications). HPA does not control and is not responsible for the content, availability, accuracy, or practices of any third-party site. Following a third-party link is at your own risk.
Payment processing on the Site is provided by Stripe, Inc. ("Stripe"). By providing payment information, you agree to Stripe's Terms of Service and Privacy Policy, available at stripe.com. HPA does not store card or bank account details on its own servers.
7. USER-SUBMITTED CONTENT
If you submit information via a contact form, membership signup, or any other form on the Site, you represent that the information is accurate and that you have the right to submit it. HPA may use submitted information to respond to your inquiry, process your membership, and improve the Site.
Do not submit confidential or sensitive personal information through the Site.
8. SITE AVAILABILITY
The Site is provided on an "as-is" and "as-available" basis. HPA does not guarantee uninterrupted access, error-free operation, or that the Site will meet your specific requirements. HPA may modify, suspend, or discontinue any part of the Site at any time without notice.
9. DISCLAIMERS
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT ARE PROVIDED "AS-IS" AND "AS-AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.
10. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HPA'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). HPA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY.
Nothing in these Terms limits liability that cannot be limited by law.
11. INDEMNIFICATION
You agree to defend, indemnify, and hold HPA harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising from your use of the Site, your violation of these Terms, or your violation of any law or third-party right.
12. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Site will be resolved exclusively by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, seated in San Diego County, California. Each party waives any right to a jury trial and to participate in a class action.
For members, the dispute resolution provision in the Membership Agreement controls with respect to membership disputes.
13. CHANGES TO THESE TERMS
HPA may update these Terms from time to time. The "Last Updated" date at the top will reflect the most recent change. Material changes will be highlighted on the Site. Your continued use of the Site after changes take effect constitutes acceptance.
